3. Payment Terms
Invoices are issued according to milestones agreed in the proposal. Standard payment terms are net 14 days unless otherwise stated. Late payments may incur reasonable interest charges and may pause active work.
4. Intellectual Property
Upon full payment, all custom deliverables transfer to the client. We retain the right to use general knowledge, methodologies, and non-confidential portfolio references unless otherwise agreed in writing.
5. Confidentiality
We treat all client materials and project details as confidential. Mutual non-disclosure agreements are available upon request.
6. Warranties & Limitation of Liability
We deliver services with reasonable skill and care. Our total liability for any claim arising from an engagement is limited to the fees paid for the specific service in question. We are not liable for indirect or consequential damages.
7. Termination
Either party may terminate an engagement with written notice as described in the relevant proposal. The client remains responsible for fees for work completed up to the termination date.
8. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict-of-laws rules.
